Terms of Service

1. Acceptance of Terms

By accessing or using A2Z Dialer (“Service”), operated by A2Z Dialer, Inc. (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Services

A2Z Dialer provides an AI-powered real estate outreach platform, including automated calling campaigns, lead management, appointment booking, a marketplace for real estate leads and appointments, and related tools (“Services”). We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with or without notice.

Your use of the Services is subject to any additional guidelines, rules, and policies applicable to specific features or programs that we may post on the Service from time to time, all of which are incorporated by reference into these Terms.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately at legal@a2zdialer.com of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to comply with this obligation.

We reserve the right to terminate accounts, refuse service, or remove content at our sole discretion, including if we believe a user has violated these Terms.

4. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any applicable Do-Not-Call regulations;
• Transmit any unsolicited or unauthorized advertising or promotional material;
• Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service;
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service;
• Use any robot, spider, or other automated device to access the Service for any purpose;
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• Upload or transmit viruses or other malicious code;
• Use the Service to harass, abuse, or harm another person;
• Collect or harvest any personally identifiable information from the Service without authorization;
• Use the Service in any manner that could damage, disable, overburden, or impair the Service.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of A2Z Dialer, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of A2Z Dialer, Inc.

You retain ownership of any content you submit through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content solely for the purposes of providing and improving the Service.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL A2Z DIALER, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service;
• Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU HAVE PAID TO US IN THE PAST TWELVE (12) MONTHS FOR THE SERVICE.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

7. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may cancel your account at any time by contacting us at legal@a2zdialer.com. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between you and A2Z Dialer, Inc. regarding the Service.
